- Support in the context of acquisitions and disposals (of companies, businesses and going concerns), mergers, corporate reorganisations and the establishment of joint ventures or partnerships, from the due diligence phase to the drafting and negotiation of contractual documentation and the closing of the transaction.
- Advice on the structuring and management of companies (incorporation, fundraising, governance, shareholders’ agreements, etc.) and support in preventing and resolving conflicts between shareholders.
- Distressed M&A, support in the context of investment, acquisition or disposal transactions involving companies in difficulty, including risk analysis, negotiation with court and officers of the insolvency proceedings, and legal compliance of the transaction in a crisis context.
Private Equity
- Advising investment funds, groups and managers on private equity transactions (majority LBOs, minority investments, co-investments, setting up and unwinding management incentive plans) in the small and mid-cap segments.
- Supporting portfolio companies in their development strategy: advising on external growth transactions (build-ups), managing the legal and tax issues related to the integration of targets.
Venture Capital
- Advising founders and investors on fundraising (seed, A/B/C series, bridge financing).
- Legal structuring of transactions, drafting shareholders’ agreements, negotiating the terms and conditions for the entry and exit of shareholders, managing investor relations.
Taxation
- Taxation of transactions (M&A, private equity and venture capital operations) and reorganisations (domestic and/or international).
- Wealth taxation and managers’ taxation (professional and personal taxation, implementation of management incentive plans, business transmission, etc.).
- Tax audits and litigation (assistance during tax audits, management of relations with the French authorities and assistance in the context of disputes).
- More generally, advising clients on all aspects of their day-to-day tax issues.
